Definitions
Scope of Work
The agreed-upon tasks, deliverables, and objectives that Korvax AI will undertake as detailed in the project proposal or quotation.
Proposal
A formal document outlining the terms, conditions, and specifications of the project as presented by Korvax AI to the client.
AI Agent / Automation
Any custom-built AI system, chatbot, workflow, integration, or automated process developed by Korvax AI for the client.
Third-Party Tools
External websites, applications, CRMs, APIs, messaging platforms (e.g. WhatsApp Business), or services used by Korvax AI that are integrated into the project.
Project Go-Live
The stage at which the AI automation or system is made live, subject to full payment being received by Korvax AI.
Deliverables
The specific outputs Korvax AI will provide, including AI agents, workflow automations, integrations, and documentation.
Governing Law
Federal Law No. (5) of 1985 on the Civil Transactions Law of the UAE and all applicable UAE legislation.
Hourly Rate
The standard rate charged by Korvax AI for work outside the agreed project scope, as specified in the relevant proposal.
Disclaimer of Amendment
- Korvax AI reserves the right to amend these terms at any time without prior notice.
- Amendments become effective immediately upon posting on the Korvax AI website.
- Continued use of our services constitutes acceptance of any revised terms.
- Clients are responsible for regularly reviewing these terms.
- If you disagree with any amendments, you may terminate your engagement. Outstanding payments for services already rendered remain due.
Eligibility
- Users must be at least 18 years old or the legal age of majority in their jurisdiction
- Users must have the legal capacity to enter into binding agreements
- Users previously suspended or removed from our services are not eligible
- By accessing our services, you confirm you meet these requirements
Scope of Work
The scope of work is expressly defined in the proposal or quotation, which serves as the definitive reference document.
- Korvax AI provides a detailed scope of services in every proposal.
- It is the client’s responsibility to carefully review and understand the scope before signing.
- Once accepted, the client is bound by the terms and agrees to pay accordingly.
- Any requirement not explicitly mentioned in the scope is not included. Korvax AI does not accept claims that unlisted items were implied or assumed.
- Changes or additions requested during the design stage will be evaluated case-by-case. If accepted, the approved design supersedes the original scope.
- Any significant scope additions will be quoted separately.
Performance Obligations
Both parties shall perform their respective obligations in accordance with this agreement and in a manner consistent with good faith, as stated in Article 246 of the UAE Civil Code. Both parties shall act honestly, fairly, and with integrity throughout the engagement.
Holding of the Project
- Clients may request to place a project on hold. All outstanding balances must be paid before the hold takes effect.
- Payments made to date are strictly non-refundable and cannot be reallocated.
- The maximum hold period is 6 months. Projects not resumed within this period will be terminated without further notice.
- Korvax AI accepts no responsibility for technology changes during the hold period. Any additional development costs resulting from such changes are the client’s responsibility.
- If the client cancels during the hold period, Korvax AI will assess work completed and may invoice for costs incurred to that point.
Additional Services & Fees
- Services beyond the agreed scope are available at additional cost, billed hourly or as a fixed fee.
- All additional fees will be clearly communicated and added to the client’s invoice before work commences.
- Additional services may affect project timelines. Korvax AI will communicate any impact promptly.
- Additional service fees are separate from the original proposal fees.
Payments
Currency
All payments shall be made in UAE Dirham (AED) unless otherwise specified. In cases of foreign currency payment, the prevailing exchange rate at the time of payment applies. Exchange rate fluctuations are the client’s responsibility.
Invoice Payment
- All invoices must be cleared within 5 working days from the invoice date
- Late payment beyond 15 calendar days will incur a daily surcharge as specified in the proposal
Project Go-Live
All outstanding payments must be cleared before Korvax AI makes any AI system or automation live. Ownership of all developed systems remains with Korvax AI until full payment is received.
No Refund Policy
No Refund: Korvax AI operates on a strict no-refund policy. Payments are for time, expertise, and resources invested. Once payment is made, it is non-refundable except as expressly required by applicable UAE law.
Warranty
Korvax AI provides a warranty on the functionality of project deliverables from the date of go-live. During this period, defects arising from Korvax AI’s workmanship will be addressed at no additional cost. The warranty does not cover issues arising from client misuse, unauthorized modifications, or third-party platform changes.
Payment Disputes
Payment disputes must be raised in writing within 7 business days of the disputed invoice. Disputes do not justify withholding payment for other undisputed services.
Delay in Project
Project Start
Korvax AI will commence work only upon receipt of the agreed down payment.
Client Responsibilities
Korvax AI shall bear no liability for delays caused by the client, including:
- Delayed provision of content, credentials, or required assets
- Slow feedback or approval at any project stage
- Excessive revision requests beyond the agreed number
- Delayed release of milestone payments
Expected Response Times
- Design feedback: within 24 hours of submission
- Development clarifications: within 24 hours
- UAT review and feedback: within 48 hours
- Additional requirements: within 24 hours
Limitation of Satisfaction Guarantee
The services provided by Korvax AI do not include a 100% satisfaction guarantee. Korvax AI is committed to delivering high-quality AI solutions within the agreed scope, using industry-standard methodologies. Korvax AI is not responsible for fulfilling unreasonable expectations or requests outside the defined scope.
Automatic Renewal
All recurring services (retainers, maintenance, support, API subscriptions) are subject to automatic renewal unless the client provides written cancellation notice at least 15 working days before the end of the current period. Non-payment within one month of renewal may result in suspension or termination of services.
Third-Party Approvals
Korvax AI does not guarantee or warrant third-party approvals including but not limited to app store listings, WhatsApp Business API access, government authority approvals, or platform compliance decisions. These are governed by the respective third parties and are the client’s responsibility to pursue and maintain.
Design Review
Our standard process includes 3-4 design revision rounds. Additional revisions beyond this are subject to extra charges as stated in the proposal. All feedback must be consolidated and provided in one submission per round. Korvax AI will not proceed to development until the design is formally approved by the client.
Third-Party Tool Limitations
Korvax AI makes reasonable efforts to integrate with client-specified platforms (e.g. Salesforce, HubSpot, Shopify, WhatsApp Business). However, Korvax AI is not responsible for:
- Availability, uptime, or changes made by third-party providers
- API limitations or deprecations imposed by third parties
- Licensing costs or subscription fees for third-party tools
- Compatibility issues arising from third-party updates
Project Launch
- Project go-live is contingent on full payment, completed UAT, and client approval.
- The client is responsible for ensuring their systems and infrastructure are ready for launch.
- Post-launch support is provided for the period specified in the proposal. Extended support requires a separate maintenance agreement.
Implementation Scope & Verbal Agreements
Important: This proposal and signed agreement serve as the final contract. Any verbal agreements or discussions not explicitly incorporated in writing are not binding and will not be implemented by the Korvax AI delivery team.
Clients are requested to read and understand the full scope before signing to avoid misunderstandings during project delivery.
Content Delivery
The client is responsible for providing all required content (copy, assets, credentials, data) within 30 calendar days of the agreed milestone. Failure to provide content within this timeframe does not exempt the client from processing the final invoice for completion.
Intellectual Property
Ownership Upon Full Payment
Upon receipt of full payment, the client shall have full ownership of all intellectual property rights associated with the deliverables created by Korvax AI for that project, including AI agents, workflow configurations, and custom integrations.
Portfolio License
Korvax AI retains a non-exclusive, worldwide, royalty-free license to reference or showcase the project in its portfolio and marketing materials, unless otherwise agreed in writing.
Client Materials
The client guarantees that all materials provided to Korvax AI do not infringe upon any third-party intellectual property rights.
Third-Party Components
Where third-party assets (APIs, datasets, models, libraries) are incorporated, their respective licensing terms apply. The client is responsible for ensuring compliance with such licenses.
Limitation of Liability
The liability of Korvax AI, its directors, employees, and agents shall be limited to the total fees paid by the client for the specific project in question. In no event shall Korvax AI be liable for any indirect, incidental, consequential, or punitive damages including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
Confidentiality
Both parties agree to keep all confidential information received from the other party strictly confidential and not disclose it to any third party without prior written consent. This obligation extends to employees, agents, and contractors of both parties and survives the termination of the engagement, in accordance with Article 905(5) of the UAE Civil Code.
Data Protection
Korvax AI and the client agree to comply with applicable data protection laws, including the UAE Personal Data Protection Law (Federal Decree Law No. 45 of 2021). All personal data collected and processed in connection with project delivery will be handled in accordance with these regulations and Korvax AI’s Privacy Policy.
Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, government actions, or other unforeseeable events (as defined under Article 273 of the UAE Civil Code). The affected party shall promptly notify the other and make all reasonable efforts to resume performance. If a Force Majeure event continues for more than 30 days, either party may terminate the agreement by written notice.
Governing Law & Dispute Resolution
Governing Law
This agreement is governed by and construed in accordance with the laws of the United Arab Emirates.
Dispute Resolution
Any disputes arising between the parties shall be resolved through arbitration conducted in accordance with the rules and procedures of the Dubai International Arbitration Centre (DIAC) as in force at the time of the dispute.
Severability
If any provision of this agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
